(LLC), a limited liability company organized under the laws of the Czech Republic, having its registered business address as  Rakodavy 513, Verovany, 78375, Czech Republic. MySuperEbike offers a wide range of e-bikes and e-motorcycles for sale, along with accessories and maintenance services to provide customers with a comprehensive biking experience. Customers can browse through various categories of e-bikes and e-motorcycles, to find the perfect fit for their needs. With a user-friendly interface and secure payment options, MySuperEbike makes it easy for customers to purchase their desired e-bikes and/or e-motorcycles online. Additionally, MySuperEbike provides detailed product descriptions and specifications to help customers make informed decisions. The company also offers fast and reliable shipping options to ensure that customers receive their e-bikes and/or e-motorcycles in a timely manner. Article 2 – REFERRED PARTIES

  1. The parties which have been referred to in this agreement are:
  1. MySuperEbike S.R.O. (LLC) as well as all the management including partners, directors, managers, and employees of MySuperEbike S.R.O. (LLC)  will be referred to as MySuperEbike, Us, We, Our, and Ours.
  1. You, the User of the website and/or the Purchaser of the e-bikes and e-motorcycles or any other products through the website will be referred to as You, Your, User, or the Customer in this agreement.
  1. The parties to this Agreement (MySuperEbike, LLC, and the User and/or the Purchaser) will be referred to as they, them, their, or the parties.

Article 3 – THE AGREEMENT

  1. This platform and its products and services are provided by MySuperEbike to its registered Users and are governed by the following Terms of Use and Sale (referred to as the “Agreement”). By providing your consent to the terms outlined below, you acknowledge and agree to be legally obligated by these Terms of Use and Sale. These terms constitute a legally binding agreement between you and us. It is recommended to carefully read the Agreement prior to proceeding with any purchase of products and services provided by MySuperEbike. Non-compliance with the Terms of Use and Sale can lead to physical harm, financial loss, or legal ramifications. It is advisable to consult with a legal professional if you have any inquiries or apprehensions regarding the Agreement. The Terms of Use and Sale may be updated or modified at any time without prior notice at our sole discretion. It is your responsibility to regularly review the Agreement for any changes.

Article 4 – RESTRICTIONS

  1. Users must meet the minimum age requirement of 18 (eighteen) years in order to access and utilize this website, as well as make purchases of its products and services. By utilizing this website, you assert and guarantee that you meet the legal age requirement and acknowledge and consent to the terms and conditions outlined in this Agreement. MySuperEbike disclaims all responsibility and liability for any inaccuracies in the User’s age provided by the User.

Article 5 – REPRESENTATIONS

  1. By purchasing e-bikes and/or e-motorcycles, you are providing a representation and warranty to us that you possess knowledge about the characteristics of riding e-bikes and/or e-motorcycles and associated activities, that you possess the necessary skills and legal permissions to operate the e-bikes and/or e-motorcycles, and that you are in suitable physical condition to engage in such activity. If you lack knowledge about the mechanics of riding an e-bike and/or e-motorcycle, it is advisable to undergo professional training prior to operating one. 
  1. The user acknowledges and assumes full liability for all utilization of e-bikes and/or e-motorcycles or other Products, including the utilization by third parties. The user is required to comply with local and state laws and ordinances when registering and operating the purchased Products. MySuperEbike does not provide any guarantees or assurances regarding the legality of operating its products in your specific city and state. The products offered for sale on the Site are intended for personal use only and are not to be acquired for the purpose of resale. 

Article 6 – PURCHASE PROCEDURE

  1. In order to initiate a purchase, it is necessary to adhere to the instructions provided on the website. Upon clicking the “Confirm” button at checkout, you are initiating a purchase of the requested Products from the website. 
  1. Upon submission of an order, it is contingent upon our approval. MySuperEbike reserves the right to decline orders, either in whole or in part, for any reason, without incurring any liability towards the customer, except for refunding any charges associated with the declined order. The receipt of an electronic or other form of order confirmation does not constitute our acceptance of the user’s order. Additional verifications or information may be necessary prior to accepting any order. 
  1. Upon successful placement of your order, MySuperEbike will send you an email confirmation within a maximum of 3 business days. This email will include an order confirmation number for your reference.

By initiating a purchase transaction with MySuperEbike, you provide your explicit consent to receive electronic mail communications from MySuperEbike pertaining to the details and status of your order. Article 7 – PRODUCT AVAILABILITY AND DESCRIPTIONS

  1. We, as the supplier, provide the Products that are available for purchase on the website. We strive to provide precise and comprehensive descriptions of our Products; however, we cannot ensure the accuracy, completeness, reliability, or absence of errors in the Product descriptions. The color representation of Products may exhibit variations due to the display and color capabilities of the user’s specific computer monitor or device screen. We do not assume responsibility for the limitations imposed by your device’s display in accurately representing colors or other details of the product.

If any product description or other content on the website contains inaccurate information, or if any product is listed at an incorrect price, whether due to typographical errors or errors in pricing information, we reserve the right to reject or cancel any orders placed for all products listed at the incorrect price. We reserve the right to decline or cancel any orders, regardless of whether the order has been confirmed and your credit card has been charged. If the user’s credit card has already been charged for the purchase and their order is cancelled, MySuperEbike will initiate a credit to the user’s credit card account for the amount of the incorrect price. This credit is typically processed within 3 business days.

The availability of specific products is contingent upon stock availability. We retain the right to enforce quantity restrictions on any order, decline all or part of an order, and cease offering certain products, without any liability to you or any third party. Please ensure that the payment method provided is valid and has sufficient funds to cover the total amount of your purchase. Failure to do so may result in delays or cancellation of your order. 
  1. When you place an order for Products, we may require an initial deposit. The remaining balance will be due when the Products are ready to be shipped. If at any point in time, the verification process for your payment method fails, or if your payment method is found to be invalid or not accepted, we reserve the right to temporarily halt the progress of your order until we can successfully address and resolve the issue to our contentment. The user will be responsible for all expenses related to any contested credit card transaction that leads to an intervention from our merchant account provider, commonly referred to as “chargebacks”. Please ensure that your payment method is valid and accepted before placing your order to avoid any delays or complications. It is important to promptly address any issues with payment verification to prevent any interruptions in the processing of your order. 

Article 9 – PRICING AND APPLICABLE TAXES

Article 10 – REFUNDS AND EXCHANGES

  2. We kindly request that any cancellations be made at least one week prior to the scheduled shipping date, as this allows us to process your request in a timely manner. Once your item has been shipped out of the warehouse, canceling your order will not be possible. Kindly be aware that it may not be possible to cancel orders made within one week of the scheduled shipping date. Kindly note that cancellations requested within one week of the scheduled shipping date may be challenging to accommodate due to the necessary processing time. Article 11 – SHIPPING AND PRODUCT DELIVERY

  1. Once your Products are shipped, MySuperEbike will promptly provide you with a shipment confirmation that includes the tracking number of the shipping carrier. Partial shipments are possible for any order. Please note that you may receive multiple shipment confirmations if your order is fulfilled in separate shipments. This allows us to get your products to you as quickly as possible. Please keep an eye on your email for these notifications and reach out to our email if you have any questions or concerns about your order.

Delivery dates are estimated and rely on several factors: such as the availability of the product, shipping and the destination, adherence to payment terms, and compliance with all terms and conditions outlined in this agreement. Unless otherwise specified, MySuperEbike will deliver the products ordered at the designated location. It is important to note that any changes to the order after it has been placed will be subject to our approval and may impact on the delivery timeline. Additionally, customers are responsible for ensuring someone is available to receive the delivery at the designated location. 
  1. We assume that anyone at your delivery address who accepts a delivery from us is authorized to receive it. Upon delivery, the title and all risk of loss or damage to the products will be transferred to you. 
  1. When you buy any Products through the website, it’s important to thoroughly inspect them and make sure they are in proper working condition and safe for use. Please ensure that you inspect your shipment promptly upon delivery and promptly report any damage or other issues to MySuperEbike. Upon accepting delivery of the Product, it is your responsibility to ensure that the Product remains undamaged. Please contact us within 48 hours of receiving your order if you notice any damage or defects. We will work with you to resolve the issue and ensure your satisfaction with your purchase. It is important to document any damage with photographs and videos and provide detailed descriptions when reporting issues to MySuperEbike. This will help expedite the resolution process and ensure a smooth experience for you as a customer. Additionally, please keep all packaging materials in case they are needed for return or exchange purposes. Article 12 – WARRANTIES

  1. Unless otherwise specified, MySuperEbike guarantees that all Products sold to you will be free from any material or workmanship defects. This warranty applies unless stated otherwise on the website, affixed to the Products, or specified in writing in any maintenance or operating instructions. This warranty will expire twelve (12) months after the date on which the products (excluding repaired or replacement products furnished pursuant to this warranty) are shipped by MySuperEbike to the initial purchaser. Please note that this warranty does not cover normal wear and tear, misuse, accidents, or unauthorized modifications to the Products. It is important to carefully review the warranty terms and conditions provided with your purchase to understand your rights and responsibilities. Any repairs or replacements made under this warranty will not extend the original warranty period. Customers are responsible for any shipping costs associated with returning Products for warranty service. 
  1. There are no additional warranties, whether expressed, implied, statutory, or otherwise, that go beyond the description provided above. This includes implied warranties of merchantability and fitness for a specific purpose. In addition, it is important to note that MySuperEbike general literature and product information should not be considered as warranties of performance or quality. Before making a purchase, you have the opportunity to thoroughly examine the products described here. It is important to understand that there is no implied warranty regarding any condition or defect that could have been revealed through examination.

The obligation to repair, replace, update, or refund the purchase price paid for the products will be the only remedy available to the purchaser and any other users of the products for any breach of the warranty. In the event of any issues or concerns, customers should contact our email for assistance and guidance. 

Article 13 – LIMITATION OF LIABILITY

  1. MySuperEbike and its subcontractors are not liable for any loss, damage, or claim resulting from the sale or use of our products. We will only be responsible for the price of the specific product, part, or equipment involved in the claim. MySuperEbike will not be held liable for any indirect, incidental, special, or consequential damages, regardless of whether they have been previously advised of such possibilities. These damages may include personal injury, death, property damage, loss of profits or revenue, loss of business, or loss of use of the equipment described herein or any associated equipment. Additionally, MySuperEbike will not be responsible for the cost of capital, substitute products, parts, or labor costs. It is important for customers to carefully review and understand the terms and conditions outlined in the warranty agreement provided by MySuperEbike and the concerned manufacturer. By agreeing to these terms, customers acknowledge their responsibility for any costs associated with repairs or replacements. It is recommended to seek clarification from MySuperEbike if there are any uncertainties regarding warranty coverage. 

Article 14 – ASSUMPTIONS OF RISK

  1. CAUTION: Engaging in the operation of an e-bike and/or e-motorcycle in off-road or on-road environments entails inherent risks and dangers that may result in severe physical harm, such as permanent impairment, paralysis, dismemberment, or fatality. The potential hazards and risks mentioned can arise from the rider’s own actions or lack thereof, the actions or lack thereof of others, the environmental conditions in which the riding activity occurs, or the negligence of others. There may exist supplementary risks, including social and economic detriment, that are either familiar or unfamiliar to you, and not easily predictable. It is crucial for riders to be well-trained, wear appropriate safety gear, and adhere to all traffic laws and regulations to minimize these risks. Additionally, staying informed about the latest safety guidelines and seeking professional instruction can help mitigate potential dangers associated with e-bike and/or e-motorcycle riding. By taking proactive measures to educate yourself and prioritize safety, you can enhance your overall riding experience and reduce the likelihood of accidents or injuries. Remember that staying alert, practicing defensive driving techniques, and continuously improving your skills are essential components of safe e-bike and/or e-motorcycle riding. 
  1. When you purchase or use any Product, you explicitly and willingly accept all risks, including the possibility of death, injury, or damage to yourself, others, your property, or the property of others. These risks may arise from your use of the Product, regardless of whether they were foreseeable or not. This includes risks related to (a) the condition or safety of any roadways, premises, or property on which your e-bike and/or e-motorcycle is operated; (b) the use, failure to use, or absence of any safety devices or safeguards; and (c) the conditions and circumstances under which the e-bikes and/or e-motorcycles is used. By acknowledging these risks, you agree to release MySuperEbike from any liability for any injuries or damages that may occur while using the Product. It is important to always prioritize safety and follow all recommended guidelines and precautions when operating your e-bikes and/or e-motorcycles. Always wear appropriate safety gear, such as a helmet and protective clothing, and ensure that your electric motorcycle is properly maintained and in good working condition before each use. Additionally, consider taking a safety course to improve your skills and knowledge of safe riding practices.

Article 15 – DISCLAIMER AND LIABILITY RELEASE

  1. The customer acknowledges and accepts any potential risks involved in using e-bikes and/or e-motorcycles. The customer, acting on behalf of themselves, their heirs, personal representatives, and assignees, hereby releases, waives, and discharges MySuperEbike, and all associated parties, including partners, directors, managers, employees, volunteers, independent contractors, officers, and agents of MySuperEbike (referred to as the “Released Parties”) from any liability arising from the customer’s own negligence, the negligence of others, or any negligence on the part of the Released Parties from the Client’s use of the e-bikes and/or e-motorcycles or any other product.
  1. This Agreement pertains to personal injury, and loss including death, resulting from accidents that occur during the utilization of e-bikes and/or e-motorcycles, or any other product purchased from the website. 
  1. The customer agrees to indemnify and protect the released parties from any financial harm caused by the customer, for which the released parties may be held legally responsible. This includes covering the costs of attorney fees and arbitration expenses. The customer acknowledges that they are solely responsible for any injuries or damages that may occur during their utilization of e-bikes and/or e-motorcycles, or any other product purchased from the website and agrees to not hold the released parties liable for any accidents, injuries, or loss including death. Additionally, the customer understands that it is important to follow all safety guidelines and instructions provided by the manufacturer and/or MySuperEbike to minimize the risk of injury or loss.
  1. The customer hereby acknowledges and agrees that have read and understood the foregoing assumption of risk and release of liability and I understand that by agreeing to this document, it obligates him/her to indemnify MySuperEbike for any liability for injury, damage, loss, or death caused by their negligent or intentional/unintentional act or omission. 

Article 16 – USER’S LIABILITY AND LAW COMPLIANCE

  1. E-bikes and e-motorcycles are vehicles designed for off-road use, providing riders with the ability to navigate rugged terrain with ease. These electric-powered vehicles offer a more environmentally friendly alternative to traditional gas-powered off-road vehicles. While we can provide guidance on registering these machines for public road use, it is ultimately the user’s obligation to complete the registration process and ensure they are compliant with local laws and regulations. Additionally, riders should always wear appropriate safety gear, such as helmets and protective clothing, to reduce the risk of injury while operating these vehicles, especially when traversing challenging terrain. It is important for riders to also familiarize themselves with the specific features and capabilities of their electric off-road vehicle to ensure safe and enjoyable rides. e-bikes and e-motorcycles technologies are new and revolutionary and are subject to the applicable laws of the user’s location. It is crucial for riders to stay informed about any updates or changes in regulations regarding electric off-road vehicles in their area. This will help ensure a smooth and legal riding experience while enjoying the benefits of this innovative technology. 

ARTICLE 17 – GOVERNING LAW AND JURISDICTION

  1. This agreement shall be governed by the laws of the Czech Republic. In case of a dispute between the Parties relating to or arising out of this Agreement, the Parties shall first attempt to resolve the dispute personally and in good faith. If these personal resolution attempts fail, the Parties shall then submit the dispute to binding arbitration in Olomouc. The parties agree to submit to the exclusive jurisdiction of the courts in the Czech Republic for any legal proceedings related to this agreement. The arbitration proceedings shall be conducted in accordance with the rules of the Czech Arbitration Court. The parties agree to abide by the final decision of the arbitrator(s) as binding and enforceable. Any costs related to the arbitration proceedings, including legal fees and arbitrator fees, shall be divided equally between the parties unless otherwise determined by the arbitrator(s). 

Article 18 – WAIVER

  1. FOR THE PURPOSE OF ENFORCING, DEFENDING, OR INTERPRETING ANY RIGHTS OR REMEDIES ARISING UNDER, RELATED TO, OR ASSOCIATED WITH ANY PURCHASE OF PRODUCTS AND/OR THESE SALE TERMS, YOU AND WE HEREBY WAIVE, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY RIGHT TO TRIAL BY JURY IN ANY ACTION, SUIT, OR RELATED PROCEEDING. MOREOVER, YOU AGREE THAT YOU MAY ONLY RESOLVE DISPUTES IN YOUR INDIVIDUAL CAPACITY AND MAY NOT FILE A CLAIM IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION AS A PLAINTIFF OR A MEMBER OF A CLASS. IT IS NOT PERMITTED TO COMBINE LITIGATION WITH OTHER LAWSUITS, ENGAGE IN CLASS ARBITRATIONS, CLASS ACTIONS, OR PRIVATE ATTORNEY GENERAL LITIGATION.

Article 19 – SEVERABILITY

  1. If any provision or term of this Agreement is held to be unenforceable, then this Agreement will be deemed amended to the extent necessary to render the otherwise unenforceable provision, and the rest of the Agreement, valid and enforceable.

ARTICLE 20 – MISCELLANEOUS PROVISIONS

  1. This Agreement may not be assigned or otherwise transferred in whole or part by the customer.
  1. Headings to this Agreement are for convenience only and shall not be construed to limit or otherwise affect the terms of this Agreement.
  1. This Agreement constitutes the entire agreement between the Parties and supersedes any prior or contemporaneous understandings, whether written or oral.

Article 21 – ACCEPTANCE

  1. By affixing your electronic signature below, you acknowledge and consent to the validity, enforceability, and admissibility of this agreement, considering the electronic signature to be equivalent to a handwritten signature.
  1. The Client hereby acknowledges and agrees that he/she has read and understood the terms and conditions of this agreement and the foregoing assumption of risk, and release of liability.
